1. Agreement to Terms

By accessing or using Ellehammer ("the Service"), operated by Tandem Agency ApS ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Ellehammer is a business intelligence platform providing access to Danish business data sourced from the Central Business Register (CVR). The Service includes features such as business search, mapping, filtering, export capabilities, and email alerts for new business registrations.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account with a valid email address. You agree to provide accurate and complete information and to keep this information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

4. Subscription and Payment

4.1 Subscription Plans

Access to the Service requires a paid subscription. Different plans offer varying features and usage limits as described on our pricing page. We may offer free trials at our discretion.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan. Payment is due at the start of each billing period.

4.3 Refunds

Subscription fees are non-refundable except as required by law or at our sole discretion. You may cancel your subscription at any time, and you will retain access until the end of your current billing period.

4.4 Price Changes

We reserve the right to change our prices. Any price changes will be communicated to you in advance and will take effect at the start of your next billing period.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Resell, redistribute, or sublicense access to the Service or its data
• Use the data to harass, spam, or otherwise harm individuals or businesses
• Interfere with or disrupt the Service or servers
• Circumvent any usage limits or restrictions
• Reverse engineer or attempt to extract source code from the Service
• Remove or alter any proprietary notices or labels

6. Data and Content

6.1 Data Sources

Business data displayed in the Service is sourced from publicly available government registers, primarily the Danish Central Business Register (CVR). While we strive for accuracy, we do not guarantee the completeness or accuracy of this data.

6.2 Your Content

You retain ownership of any content you create within the Service (such as notes, hit lists, and alerts). By using the Service, you grant us a license to store and process this content as necessary to provide the Service.

6.3 Export Data

Data exported from the Service may be used for your internal business purposes only. You may not resell or redistribute exported data to third parties.

7. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Tandem Agency ApS and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA PROVIDED IS ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANDEM AGENCY APS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tandem Agency ApS and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Copenhagen, Denmark.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tandem Agency ApS regarding the Service and supersede all prior agreements and understandings.
